Welcome to Visit Gaze, operated by Expound Software Systems ("Company," "we," "us," or "our"). These Terms of Service ("Terms") constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("User," "you"), and Expound Software Systems, concerning your access to and use of the Visit Gaze application, website, and related services (collectively, the "Service"). By accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by all of these Terms. If you do not agree with all of these Terms, you are expressly prohibited from using the Service.
The Service provides virtual expo environments, digital floor plan customization, real-time chat features, and integrated Customer Relationship Management (CRM) tools for businesses. Access tiers include:
You may be required to register for an account. You agree to maintain the confidentiality of your password and are responsible for all activities that occur under your account. You must notify us immediately upon becoming aware of any unauthorized use of your account. Business accounts may require a valid business identification code or registration process.
Business Accounts may utilize credits for enhanced features or extended service access.
Ownership of Service: The platform, including all software, code, databases, functionality, website designs, audio, video, text, photographs, and graphics on the Service (the "Visit Gaze Content"), as well as the trademarks, service marks, and logos contained therein, are owned by Expound Software Systems (Mr. Sabu Francis being the original copyright holder) or licensed to us, and are protected by copyright and intellectual property laws. All rights not expressly granted to you are reserved.
User Content: You retain all ownership rights in the content, data, and materials you upload, transmit, or post to the Service ("User Content"). By uploading User Content, you grant us a worldwide, royalty-free license to use, host, store, display, and transmit such content solely for the purpose of operating and providing the Service to you and other users.
Prohibited Actions: You are expressly prohibited from modifying, copying, reproducing, decompiling, reverse engineering, or disassembling the Visit Gaze Content or technology, except to the extent permitted by mandatory applicable law.
You agree not to use the Service for any unlawful purpose or in any manner that violates these Terms. Prohibited activities include, but are not limited to:

TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, IN CONNECTION WITH THE SERVICE AND YOUR USE THEREOF, INCLUDING, WITHOUT LIMITATION, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE MAKE NO WARRANTIES OR REPRESENTATIONS ABOUT THE ACCURACY OR COMPLETENESS OF THE SERVICE'S CONTENT OR THE CONTENT OF ANY WEBSITES LINKED TO THE SERVICE.
IN NO EVENT WILL EXPOUND SOFTWARE SYSTEMS OR ITS DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFIT, LOST REVENUE, LOSS OF DATA, OR OTHER DAMAGES ARISING FROM YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
These Terms shall be governed by and construed in accordance with the laws of India. Any legal action or proceeding arising under these Terms shall be brought exclusively in the courts located in Thrissur, Kerala, India, and the parties hereby consent to the personal jurisdiction and venue therein.
We reserve the right to change or modify these Terms at any time. The updated version will be indicated by an updated "Last Updated" date and the updated version will be effective immediately upon posting. Your continued use of the Service constitutes your acceptance of such changes. We also reserve the right to modify, suspend, or discontinue the Service (or any part thereof) with or without notice for maintenance, updates, or other reasons.
